Terms and Conditions of Sale and Delivery

Please review our standard Terms and Conditions. When purchasing products from Triple-S (Seller), you have at the same time accepted and approved the applicable terms and conditions. The Buyer’s own delivery conditions are thus only accepted if the parties have expressly agreed to this.

1.0 Parties

1.1 The parties to this Agreement are Triple-S AS, below called "Seller", and customers who are affiliated with the Agreement, hereinafter referred to as the "Buyer".

1.2 The Seller's general "Terms and Conditions of Sale and Delivery" take precedence and apply unless otherwise agreed in writing between the parties. The Buyer's standard terms and conditions only apply if this is confirmed in writing by the Seller prior to entering into the agreement.

2.0 Offers

2.1 Offers are valid for 30 days from the date of the offer. Agreements that deviate from the offer are only binding after written confirmation from the Seller. Prices stated in Sellers price lists or other publications are subject to change without notice and shall not be construed as final estimates or offers. Price lists and other publications are only to be regarded as sources of general information, and the prices specified shall be confirmed by special offer. All prices are stated in NOK if otherwise not specified in the offer. 

3.0 Price calculation and delivery location

3.1 All prices are freely delivered to our warehouse in Oslo excluding VAT.

4.0 Delivery

4.1 The delivery time provided is based on information from our suppliers and we undertake to do what we can to ensure that the delivery time is complied with. In the event of significant delays, the buyer shall be notified. Delayed delivery alone does not entitle the buyer to the cancellation of a contract/agreement or a claim for compensation. If the buyer cannot receive the item at the agreed time, storage will be provided at the buyer's expense and risk. The seller may request settlement in accordance with the sales agreement as if delivery had taken place. Where building conditions make it necessary to use additional crew and/or tools on delivery, this takes place at the buyer's expense and risk.

4.2 The Seller arranges freight from his warehouse to the specified delivery address at buyer's expense and risk unless otherwise agreed.

4.3 The goods are delivered EXW (INCOTERMS® 2020). The goods have been delivered and marked in accordance with The Seller's standard practice, unless special labelling, packing or other conditions are agreed in writing in advance. Other terms of delivery must be agreed in advance in writing.

4.4 For orders less than net NOK 500, which are ordered outside the webshop, the Buyer will be charged an handling fee of NOK 100,- 

4.5 The Seller is free to partially deliver orders where the order is not completed within a reasonable time, or that the order size is of such a nature that it exceeds or limits the Seller's inventory capacity. 

5.0 Payment

5.1 The Seller's general terms and conditions of payment are net as of 30 days from the invoice date. In case of late payment, 15% interest on late payment will be charged.

5.2 The goods remain Sellers as property until the purchase price is fully paid. Acceptance or coverage in any other way is not considered payment until the entire purchase price has been paid.

6.0 Export Control

6.1 Products and associated materials may be subject to different export laws and regulations.  The exporter booklets for compliance with such laws and regulations.

7.0 Services

7.1 Services such as assembly, configuration, commissioning, training and similar additional services are not included in the price unless specified. Services may be provided separately.

8.0 Complaint

8.1 Upon receipt, the buyer must inspect the goods, and any defects and defects must be advertised within 8 days.  Acceptance of complaints cannot otherwise be expected. If the defect can only be detected after installation and test driving, complaints should be made as soon as the defect is detected. Any complaint must be made no later than 12 months from delivery. The seller is not responsible for any defects advertised after the expiry of the above deadlines.

9.0 Warranty and liability

9.1 The Seller undertakes to deliver a faultless, functional goods in accordance with applicable technical specifications. The seller's liability is limited to transport damages incurred prior to dispatch, as well as defects caused by manufacturing and material defects. In the event of complaints of defects, the seller's liability is limited to making free replacement/repair of defective parts at his warehouse in Oslo within normal working hours. Shipping to and from the seller takes place at the buyer's expense and risk. If such replacement/repair is carried out at the buyer, travel costs, accommodation, diet and time taken are charged based on the seller's current rates. In the event of any damages and defects, the Seller shall be given a reasonable deadline to put the equipment in prescribed condition. The buyer's warranty will be forfeited if connections or interventions have been made in the item without the seller's consent, if damage arises as a result of improper or improper processing, inadequate maintenance, or if the payment conditions are not met. In addition to what has been stipulated herein, the Seller disclaims any liability in connection with any defects or defects in the goods, including damage or loss that may be directly or indirectly caused by defects or defects in the goods and any other consequential damages. Seller warrants the products for one (1) year from the time of delivery.

10.0 Cancellation

10.1 The purchase agreement may only be amended or terminated with the seller's written consent.

10.2 In the event of cancellation, the buyer will be charged the additional costs that the seller has incurred, or will incur, from the supplier, forwarder or carrier.

11.0 Return

11.1 Return of purchased equipment may only take place with Seller's consent, and takes place at Buyer's expense and risk. Items taken in return must be unused and in the same condition as on delivery, and in original undamaged packaging. In the event of surplus goods or incorrectly received goods, a return must be sought within 12 months after the goods were received from the Buyer.  

11.2 Sellers return form (available here) shall be used for all returns.

11.3 Undamaged goods returned are credited with invoiced value, with a deduction of 20% return fee unless otherwise agreed. Minimum return fee NOK. 250,- per return.  Not stocked goods are only returned if the Seller accepts this. 

12.0 Force majeure

12.1 If force majeure occurs, the delivery time is extended by the time the force majeure situation lasts. In the event of such obstacles, the Seller reserves the right to deviate from all liability for delivery. As force majeure, any obstacle that falls under section 23 of the Purchase Act is considered, both when these are general and when they affect the Seller himself or Seller's suppliers. Force majeure is also considered traffic difficulties that affect the agreed mode of transport or road, restriction on the supply of impetus, labour disputes, military mobilization, requisition, as well as seizure, currency, export and import restrictions. 

13.0 Treatment of EE waste

13.1 Electrical products contain pollutants. Seller is a member of RENAS. You can deliver discarded products to us, and we will take them on to environmentally friendly treatment. This is completely free for you. You can also deliver to the municipality's waste disposal centre and other approved EE waste disposal centres.

14.0 Exceptions

14.1 These General Terms and Conditions apply to the extent that they are not waived by written agreement.

15.0 Disputes

15.1 Any disputes about the understanding of this contract shall be resolved by negotiation. If negotiations do not proceed, the matter shall be decided by the ordinary courts, unless the parties agree to bring the case in for arbitration. Disputes shall be settled in pursuant to Norwegian law. The venue is Oslo District Court.
